Terms of Use

These Terms of Use govern your access to and use of the Prodel Academic Excellence platform — including our website, mobile applications, courses, assessments, and any other services we provide (collectively, the "Platform"). Please read them carefully before using Prodel.

1. Acceptance of Terms
By creating an account, browsing, or using any part of the Prodel platform, you agree to be bound by these Terms of Use ("Terms") and our Privacy Policy. If you are using Prodel on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not agree, you must not use the platform.
2. Eligibility
You must be at least 16 years of age to use Prodel. By using the platform, you confirm that you meet this requirement. If you are under 18, your parent or legal guardian must review and agree to these Terms on your behalf.
3. Accounts
Registration
You must provide accurate and complete information when creating an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
One Account Per Person
Each individual may maintain only one personal learner account. Creating duplicate accounts to circumvent restrictions or for deceptive purposes is prohibited.
Account Security
Notify us immediately at info@useprodel.com if you suspect unauthorised access to your account. Prodel is not liable for any loss resulting from unauthorised use of your credentials.
4. Use of the Platform
Prodel grants you a limited, non-exclusive, non-transferable licence to access and use the platform for your personal, non-commercial learning purposes, subject to these Terms. You must not:
- Copy, reproduce, distribute, or create derivative works from any platform content without written permission.
- Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
- Use automated tools (bots, scrapers, crawlers) to access, extract, or interact with the platform.
- Circumvent any access controls, digital rights management, or security features.
- Share your account credentials or allow third parties to access the platform through your account.
- Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
- Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure.
5. Intellectual Property
Prodel Content
All content on the platform — including course materials, videos, assessments, software, trademarks, and branding — is owned by Prodel or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
Instructor Content
Instructors who publish content on Prodel retain ownership of their original materials but grant Prodel a worldwide, royalty-free licence to host, display, and distribute that content to learners on the platform.
Your Feedback
If you submit feedback, suggestions, or ideas about the platform, you grant Prodel an unrestricted, perpetual licence to use that input without compensation or attribution to you.
6. User-Generated Content
You may submit content such as discussion posts, assignment answers, or profile information. You retain ownership of such content, but grant Prodel a licence to store, display, and process it in connection with delivering the platform. You are solely responsible for ensuring your submissions do not infringe third-party rights, contain malware, or violate applicable law. Prodel may remove any user-generated content that violates these Terms at its discretion.
7. Payments & Refunds
Fees
Certain programs and features require payment. All fees are quoted in the applicable currency and are inclusive of applicable taxes where required by law. Prices are subject to change with notice.
Refunds
You may request a full refund within 14 days of purchase, provided you have not completed more than 20% of the program and have not downloaded any course materials. Refund requests must be submitted to info@useprodel.com. Refunds are not available for completed certificates, live-session bookings after the session date, or subscription fees for elapsed periods.
Subscriptions
Subscription plans renew automatically at the end of each billing period. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for unused time.
8. Certificates & Credentials
Certificates issued by Prodel reflect your completion of a program under the conditions specified at the time of enrolment. Prodel does not guarantee that any certificate will be accepted by any employer, institution, or regulatory body. Fraudulent completion — including cheating on assessments or having another person complete work on your behalf — will result in certificate revocation and account termination.
9. Prohibited Conduct
In addition to the restrictions in Section 4, the following conduct is expressly prohibited:
- Impersonating another person, instructor, or Prodel employee.
- Harassing, threatening, or discriminating against other users or instructors.
- Uploading or transmitting viruses, malware, or any code designed to disrupt the platform.
- Attempting to gain unauthorised access to any account or system connected to Prodel.
- Selling, transferring, or sublicensing your account or any certificate obtained through the platform.
- Using the platform to advertise or solicit business without Prodel's prior written consent.
10. Termination
Prodel may suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms, poses legal or security risk, or is otherwise harmful to the platform or its community. You may delete your account at any time via account settings. Upon termination, your licence to use the platform ends immediately, but provisions of these Terms that by nature should survive (e.g. intellectual property, liability limitations, governing law) will remain in effect.
11. Disclaimers
The Prodel platform and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Prodel does not warrant that the platform will be uninterrupted, error-free, or free of harmful components. Course content reflects the views of the instructor and does not constitute professional, legal, financial, or medical advice.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Prodel and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of or inability to use the platform, even if advised of the possibility of such damages. Our total aggregate liability to you for any claim arising from these Terms or your use of the platform shall not exceed the greater of (a) the amount you paid to Prodel in the 12 months preceding the claim, or (b) USD 100.
13. Governing Law & Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms shall first be referred to mediation. If mediation fails, disputes shall be resolved by binding arbitration in Lagos, Nigeria, conducted in English. Notwithstanding this, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
14. Changes to These Terms
We may revise these Terms at any time. We will give you at least 14 days' notice of material changes by email or via a prominent banner on the platform. Your continued use after the effective date of revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the platform and may request account deletion.
